These Terms and Conditions (the “Terms”) govern your access to and use of the website located at https://www.safepointit.com (the “Website”), the SafePoint IT Client Portal, and any related online tools, communications, and services (collectively, the “Services”) provided by Premier Hosting, Inc., d/b/a SafePoint IT, an Illinois corporation (“SafePoint IT,” “SafePoint,” “we,” “us,” or “our”).

By accessing or using the Website or the Services, or by opting in to receive SMS messages from SafePoint IT, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Website or the Services.

1. Relationship to Other Agreements

These Terms govern general public use of the Website and Services. Paid managed-services engagements, professional-services engagements, and similar relationships are governed by a separate written agreement between SafePoint IT and the client, which may include a Master Services Agreement (MSA), one or more accepted service quotes, and the Service Level Agreement (SLA). In the event of a conflict between these Terms and a signed agreement with SafePoint IT, the signed agreement controls for that client relationship.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Website or the Services. By using the Website or the Services, you represent and warrant that you meet these requirements and, if you are acting on behalf of a business or other entity, that you have authority to bind that entity to these Terms.

3. Use of the Website and Services

Subject to these Terms, SafePoint IT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and the Services for their intended purposes. You agree not to:

  • Use the Website or Services in any unlawful, fraudulent, or harmful manner;
  • Interfere with or disrupt the operation, security, or integrity of the Website or Services;
  • Attempt to gain unauthorized access to any account, system, or network connected to the Website or Services;
  • Use any automated means (e.g., bots, scrapers, crawlers) to access or extract data, except for standard search-engine indexing;
  • Reverse-engineer, decompile, or disassemble any portion of the Website or Services, except to the extent expressly permitted by applicable law;
  • Misrepresent your identity or affiliation; or
  • Use the Website or Services to harass, abuse, defame, or harm any person.

4. Accounts and Client Portal

Certain features — including the Client Portal — require an account. You agree to:

  • Provide accurate, current, and complete information when registering;
  • Keep your account credentials confidential and not share them with anyone;
  • Use multi-factor authentication when offered; and
  • Notify us promptly at support@safepointit.com of any suspected unauthorized access or security incident.

You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.

5. Intellectual Property

The Website and Services, including all text, graphics, logos, icons, images, audio, video, software, designs, and the selection and arrangement thereof, are owned by SafePoint IT or its licensors and are protected by United States and international intellectual-property laws. “SafePoint IT” and related marks are trademarks of SafePoint IT or its affiliates. Except for the limited license granted in Section 3, no rights are granted to you by implication, estoppel, or otherwise.

6. User Submissions and Feedback

If you submit comments, suggestions, ideas, or other feedback regarding the Website or Services, you grant SafePoint IT a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable right to use, reproduce, modify, and distribute that feedback for any lawful business purpose, without obligation or compensation to you.

7. Third-Party Links and Services

The Website may contain links to, or integrations with, third-party websites, applications, and services. SafePoint IT does not control and is not responsible for the content, terms, privacy practices, or availability of third-party sites or services. Your use of any third-party site or service is at your own risk and subject to that third party’s terms.

8. SMS Terms and Conditions (Microsoft Teams SMS – 10DLC Compliant)

SafePoint IT SMS Terms and Conditions

By opting in to receive SMS messages from SafePoint IT (“SafePoint,” “we,” “us,” or “our”) through Microsoft Teams SMS, you agree to the following terms and conditions.

8.1 SMS Program Description

SafePoint IT uses Microsoft Teams SMS exclusively for one-to-one, person-to-person business communications. SMS messages may include, but are not limited to:

  • Customer support and service communications
  • Appointment or meeting coordination
  • IT service updates or notifications
  • Responses to business inquiries

SafePoint IT does not send mass text messages, automated marketing campaigns, or promotional broadcasts.

8.2 Explicit Opt-In

You opt in to receive SMS messages from SafePoint IT by voluntarily providing your mobile phone number and expressly agreeing to receive SMS communications through one or more of the following methods:

  • Directly to a SafePoint IT representative
  • During an existing business relationship where the individual has expressly agreed to receive SMS communications
  • By initiating an SMS conversation with SafePoint IT

By providing your number, you expressly consent to receive one-to-one, business-related SMS messages via Microsoft Teams.

8.3 Message Frequency

You may receive up to 10 SMS messages per month. Message frequency varies based on the nature of the business interaction. Messages are sent only as part of individual, ongoing one-to-one conversations.

8.4 Opt-Out and STOP Confirmation

You may opt out of receiving SMS messages at any time by replying STOP to any message. Upon sending STOP, you will receive one final confirmation message acknowledging that you have been unsubscribed. After confirmation, you will no longer receive SMS messages from SafePoint IT unless you explicitly re-opt-in to receive SMS messages.

Msg & data rates may apply depending on your mobile carrier and plan. SafePoint IT is not responsible for any charges incurred.

8.7 Delivery Disclaimer

SMS message delivery is subject to mobile carrier availability and is not guaranteed. SafePoint IT is not responsible for delayed or undelivered messages.

8.8 Privacy and Data Use

SafePoint IT respects your privacy. Mobile numbers are used solely for direct business communication. Mobile opt-in information is not shared with third parties for marketing or promotional purposes. For more information, please review our Privacy Policy.

8.9 Eligibility

By opting in, you confirm that you are the authorized user of the mobile number provided and are at least 18 years of age.

8.10 Changes to SMS Terms

SafePoint IT may update these SMS Terms and Conditions at any time. Updates will be posted on this page and are effective upon posting.

9. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAFEPOINT IT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

SafePoint IT does not warrant that the Website or Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Information on the Website is provided for general informational purposes and is not professional advice for any particular situation.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SAFEPOINT IT OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE WEBSITE OR SERVICES, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SAFEPOINT IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, SAFEPOINT IT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SAFEPOINT IT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless SafePoint IT and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Website or Services; (b) your violation of these Terms or any applicable law; (c) your violation of any third-party right, including any intellectual-property or privacy right; or (d) any content you submit through the Website or Services.

12. Termination

We may suspend or terminate your access to the Website or the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to access and use the Website and Services will immediately cease. Sections that by their nature should survive termination (including Sections 5, 6, 9, 10, 11, 13, and 14) will survive.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Subject to Section 14 below, any action arising out of or relating to these Terms that is not subject to arbitration will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

14. Binding Arbitration and Class-Action Waiver

Please read this section carefully. It affects your legal rights.

14.1 Agreement to Arbitrate

You and SafePoint IT agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the Services (a “Dispute”) will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules (or, for individual consumers, its Consumer Arbitration Rules), rather than in court, except as set out below.

14.2 Arbitration Procedure

The arbitration will be conducted by a single arbitrator in Cook County, Illinois, or by remote videoconference where permitted by the AAA Rules. The arbitrator’s award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator’s authority is limited to the Dispute between you and SafePoint IT individually.

14.3 Class-Action Waiver

You and SafePoint IT agree that any Dispute will be brought in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found to be unenforceable, then the entirety of this Section 14 will be null and void with respect to the claim or claims found to be unenforceable.

14.4 Exceptions

Either party may bring an individual action in small-claims court for claims within its jurisdiction. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual-property rights or confidential information.

15. Changes to These Terms

We may modify these Terms at any time by posting the revised version on this page and updating the “Last Updated” date above. Material changes will, where reasonably feasible, be communicated through additional notice (such as an email to clients or a banner on the Website). Your continued use of the Website or Services after the effective date constitutes your acceptance of the revised Terms.

16. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and any signed agreement between you and SafePoint IT, constitute the entire agreement between the parties regarding the subject matter and supersede all prior or contemporaneous understandings.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
  • Force Majeure. Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control.
  • Notices. Notices to SafePoint IT must be sent to the address below. We may give notice to you by email, in-Service notification, or posting on the Website.
